Terms of Service

Transfon Ltd, a company headquartered in the United Kingdom ("Transfon," "we," "us," or "our"), provides technology services and software products (the "Services"). By accessing or using any of the Services, you ("you" or "user") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

Definitions

  1. Service: Includes the Transfon website, API, client software, and any other software, products, or services offered by Transfon.
  2. Transfon: Refers to Transfon Ltd as the owner and operator of the Services.

Modifications to Terms

Transfon may revise these Terms periodically. In the event of substantive changes, we will notify you at least 30 days before they take effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not accept the changes, you may terminate your account.

Copyright

All content on Transfon's websites, including text, graphics, logos, images, and software, is the property of Transfon or its licensors and is protected under applicable intellectual property laws. Reproduction, distribution, or use of this content without prior written permission is strictly prohibited.

Prohibited Use of Data and Services

Users are prohibited from using any data, algorithms, functionalities, or derived information from Transfon to create or support competing products or services. Users may not sell, sublicense, distribute, or transfer the Services or data to third parties without explicit written consent from Transfon.

Use of Services

You must be at least 13 years old to use the Services. If local laws in your jurisdiction require a higher minimum age for use, you must meet that age requirement.

Prohibited Activities

You agree not to:

  • Interfere with or disrupt the Services or any related networks.
  • Circumvent any security or technical restrictions.
  • Reverse engineer, decompile, or disassemble any part of the Services, except as explicitly permitted by law.

Service Availability

Transfon does not guarantee uninterrupted or error-free availability of the Services. Transfon will not be liable for outages caused by circumstances including but not limited to:

  • Scheduled maintenance.
  • Failures of your equipment or services.
  • Technical issues or force majeure events (e.g., natural disasters, strikes, governmental actions).

Restrictions and Responsibilities

2.1 Customer Restrictions: Customers will not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the Services or any related software, documentation, or data ("Software"). Customers will not modify, translate, or create derivative works based on the Services or any Software (except as expressly permitted by Transfon). The Services or any Software cannot be used for timesharing or service bureau purposes or otherwise for the benefit of a third party. Customers must not remove any proprietary notices or labels. Transfon grants customers a non-exclusive, non-transferable, non-sublicensable license to use the Software during the Term only in connection with the Services.

2.2 Customer Responsibilities: Customers are responsible for obtaining and maintaining any equipment and ancillary services needed to connect to, access, or use the Services, including modems, hardware, servers, software, operating systems, networking, and web servers ("Equipment"). Customers must maintain the security of the Equipment, account, passwords, and files, and are responsible for all uses of the account or Equipment, with or without their knowledge or consent.

Responsibility

You are solely responsible for the actions of all users of your account and any data created, stored, displayed, or transmitted by your account while using Transfon. You will not engage in any activity that interferes with or disrupts Transfon’s Services or networks connected to Transfon.

You must provide accurate and complete registration information when registering to use the Services. You are responsible for the security of your passwords and auth tokens and for any use of your account.

For Publishers

Advertising and Payments for Publishers

Payment Terms

  • Payments will be issued to the designated payee ("Payee") approximately 60 days after the end of each calendar month if the balance exceeds $50. Balances below $10 will not be paid.
  • Payments may be withheld for up to 90 days if there is an investigation into potential violations, including invalid traffic or fraud.
  • Revenue calculations are based solely on Transfon's records and are subject to adjustment.

Prohibited Activities

You must not:

  • Generate invalid clicks or impressions on advertisements.
  • Click on ads on your own site or solicit others to do so.

Deductions and Adjustments

Transfon reserves the right to deduct amounts from Payee’s earnings for reasons including, but not limited to:

  • Invalid Traffic: Any traffic deemed artificial or non-compliant with Transfon’s policies.
  • Click Fraud: Fraudulent activity, such as deliberate clicks to manipulate earnings.
  • Chargebacks: Claims or deductions made by advertisers or ad networks.

Transfon will not be held responsible for any penalties, account suspensions, or bans imposed by third parties, including Google AdSense, due to violations of advertising policies or other compliance issues.

Withholding Payments

Transfon retains the right to withhold or debit payments in the following cases:

  • If a breach of this Agreement is suspected, pending a reasonable investigation.
  • If advertisers or ad networks fail to remit payments to Transfon for displayed advertisements.

Revenue Estimates and Adjustments

All revenue figures displayed in Transfon’s publisher interface—such as dashboards, Earnings sections, Advanced Reporting tools, or the reporting API—are preliminary estimates and may be subject to adjustments. Payments are calculated solely based on Transfon's internal records, and external metrics or third-party statistics will not be considered.

Payee Responsibilities

  • Taxes and Government Charges: The Payee is solely responsible for any applicable taxes or governmental fees arising from their participation in Transfon's Services.
  • Disputes: Any disputes regarding payments must be submitted in writing within thirty (30) days of the payment date. Failure to notify within this timeframe will forfeit the right to contest the payment.

Payment Structure

Payee will receive an agreed-upon percentage of the Net Revenue generated from advertisements displayed on their website (“Your Website Ads”). "Net Revenue" refers to the gross payments received by Transfon from advertisers or ad networks for Your Website Ads, minus applicable fees such as:

  • Ad server costs
  • Third-party data acquisition fees
  • Delivery or targeting expenses

Payments made under this Agreement are non-transferable unless explicitly authorized in writing by Transfon. Separate accounts are required for properties managed by the Payee that require individual payment arrangements.

Prohibited Activities

  • Ad Interaction: The Payee is strictly prohibited from clicking on advertisements displayed on their website or encouraging others to do so.
  • Compliance: Participation in Transfon’s Services is contingent upon adherence to this Agreement and Google AdSense Advertising Policies, accessible at Google AdSense Policies.

Representational Authority

By participating in Transfon Services, the Payee authorizes Transfon to:

  • Represent the Payee’s website inventory to advertisers or networks.
  • Configure the Payee’s website or domain(s) as needed for ad approvals and advertisement delivery.

Transfon disclaims liability for penalties, account suspensions, or other actions imposed by Google AdSense or any other advertising platform due to non-compliance.

Service Fees and Impacts

Transfon may charge fees for access to certain Services or their components. Additionally, advertisements or commercial content may be integrated into Transfon products or user-generated pages unless otherwise specified.

The Payee acknowledges that using Transfon Services may affect the costs of third-party services (e.g., web hosting, ad serving, or analytics). Transfon is not liable for any cost changes arising from the use of its platform.

For Advertisers

Advertiser Responsibilities

Advertisers using Transfon’s platform agree to the following:

  • Ad Compliance: All advertisements must comply with Transfon’s Advertising Policies and applicable legal requirements. Ads containing prohibited content, such as offensive material, malware, or deceptive practices, will be removed, and accounts may be suspended.
  • Accurate Information: Advertisers must provide truthful and accurate information in their campaigns, including ad content, targeting criteria, and budgets.
  • Timely Payments: Advertisers are required to make timely payments for all campaigns. Failure to do so may result in campaign suspension and additional fees or penalties.
Campaign Delivery and Metrics

Transfon will make reasonable efforts to deliver advertisements as per the agreed campaign parameters. However, the following limitations apply:

  • No Guarantees: Transfon does not guarantee specific results, such as click-through rates (CTR), impressions, or conversions.
  • Performance Metrics: Campaign performance will be tracked and reported through Transfon’s analytics interface. Advertisers acknowledge that performance metrics are based solely on Transfon's reporting systems, which are final and binding.
Refunds and Chargebacks
  • Invalid Traffic and Click Fraud: Advertisers may be eligible for refunds or credit adjustments in cases where Transfon identifies invalid traffic or click fraud impacting their campaigns.
  • Dispute Process: Advertisers must submit any billing or performance disputes in writing within thirty (30) days of the relevant billing period. Disputes submitted after this timeframe will not be considered.
Suspension and Termination

Transfon reserves the right to suspend or terminate an advertiser’s account for any of the following reasons:

  • Violation of advertising policies.
  • Non-payment or delayed payment for services rendered.
  • Engagement in fraudulent or prohibited activities.
Use of Data

Transfon may collect and use performance data from advertising campaigns to optimize ad delivery, improve targeting, and enhance the platform's overall efficiency. Advertisers retain ownership of their proprietary data, but grant Transfon a non-exclusive, royalty-free license to use aggregated and anonymized data for analytical purposes.

Third-Party Costs

Using Transfon’s services may incur additional costs from third-party platforms, such as data providers, demand-side platforms (DSPs), or analytics tools. Transfon is not responsible for these external costs or any changes arising from campaign execution.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

DISCLAIMER OF WARRANTIES

(a) The Transfon services, including but not limited to any advertisements, tools, reports, software, APIs, and associated content, are provided "as is" and "as available" without any representations or warranties of any kind, express or implied.
(b) To the fullest extent permitted by applicable law, Transfon disclaims all warranties, express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing, usage, or trade.
(c) Transfon does not warrant that the services will be uninterrupted, error-free, secure, or free of harmful components, nor does Transfon warrant that any data or content provided through the services will be accurate, reliable, or complete.
(d) Transfon does not guarantee any specific outcomes, results, or revenue from the use of its services.

LIMITATION OF LIABILITY

(a) To the fullest extent permitted by applicable law, Transfon, its affiliates, officers, directors, employees, agents, licensors, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, business opportunities, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, the Transfon services.
(b) Transfon’s total cumulative liability arising out of or relating to this Agreement or the use of its services shall not exceed the total amount of fees paid by you to Transfon in the twelve (12) months preceding the event giving rise to the liability.
(c) The limitations of liability in this section apply regardless of the legal theory under which such damages are sought, including breach of contract, tort (including negligence), strict liability, or otherwise, even if Transfon has been advised of the possibility of such damages.
(d) Transfon shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, labor disputes, power outages, or internet or telecommunications failures.

EXCLUSIONS AND LIMITATIONS

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, Transfon’s liability shall be limited to the greatest extent permitted by law.

INDEMNITY

You agree to indemnify, defend, and hold harmless Transfon, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with your access to or use of the services, violation of this Agreement, or infringement by you or any third party using your account of any intellectual property or other rights of any person or entity.

This section shall survive the termination or expiration of this Agreement and your use of the Transfon services.

Privacy

Our Privacy Policy describes how we handle the information you provide when using our Services. By using the Services, you consent to the collection and use of this information, including its transfer to the UK, USA, Ireland, and/or other countries for storage, processing, and use by Transfon and its affiliates.

Pricing, Plans, and Features

For current pricing and plans, please see the pricing page on our website. We reserve the right to change pricing, plans, and features at any time without notice.

Payment and Credit Control

All services are billed monthly or yearly in advance. If you upgrade from a free or trial account, you will be immediately charged for the full account. Your monthly payment will be due on that date each month onwards. For services paid 12 months in advance, payment is taken in full on each anniversary. A valid debit or credit card must be provided at all times for your account to remain active. If a payment request is declined, access to your account may be suspended until a valid payment is processed and a valid card is associated with your account.

Cancellation and Termination

Account Cancellation by You

You are solely responsible for ensuring that your account is properly canceled. Sending an email to request cancellation is insufficient and will not be honored. To cancel your account, you must use the cancellation option available in the "Account" section of the Service.

Upon cancellation:

  • Immediate Effect: Cancellation is effective immediately upon submission.
  • Content Deletion: All your content and data will be permanently deleted and cannot be recovered.
  • Billing: Paid accounts will no longer be charged from the moment of cancellation.

Account Suspension or Termination by Transfon

Transfon reserves the right to suspend or terminate your account at any time, with or without notice, and for any reason. Additionally, Transfon retains the discretion to refuse service to any individual or entity at any time.

Grounds for Termination

The following, though not exhaustive, are causes for account suspension or termination:

  1. Violation of Terms: Breaches of these Terms of Service or any other agreements, policies, or guidelines incorporated by reference.
  2. Legal or Regulatory Requests: Requests by law enforcement or other government agencies.
  3. Voluntary Deactivation: Requests made by you to delete or cancel your account.
  4. Service Modifications: Discontinuation or substantial changes to the Service (or any of its parts).
  5. Technical or Security Concerns: Unexpected technical failures, security risks, or vulnerabilities affecting your account or the Service.
  6. Inactivity: Prolonged periods of inactivity on your account.
  7. Fraud or Illegal Activities: Evidence or reasonable suspicion of fraudulent, illegal, or prohibited activities connected to your account.
  8. False Information: Providing inaccurate, incomplete, or false details during account creation or maintenance.
  9. Improper Use: Any use of the Service deemed by Transfon, at its sole discretion, to be improper or prohibited.
  10. Fraudulent Payments: Use of stolen, invalid, or otherwise fraudulent payment methods.
  11. Nonpayment: Failure to remit payment for any fees owed for Transfon Services.

Consequences of Termination

Upon termination of your account for any reason:

  • Data Loss: All associated content, data, and account information will be permanently deleted.
  • Service Access: You will no longer have access to any part of the Service.
  • Billing Obligations: Any unpaid fees accrued prior to termination will remain your responsibility and may be pursued for collection.

By maintaining an account, you acknowledge and accept these terms, including the permanent nature of account deletions and the discretionary authority of Transfon to terminate accounts as outlined.

NON-TRANSFERABILITY OF ACCOUNTS

You agree that your Transfon account is non-transferable except with the written consent of Transfon.

Transfon collects and stores any personal information you provide when signing up for an account. Your personal information will be permanently removed when you cancel your account.
